These Terms apply to all users of the site, including healthcare professionals, facilities, and visitors.
2. Eligibility
To use our services, you must:
Be at least 18 years of age
Have the legal capacity to enter into binding contracts
For healthcare professionals: possess valid and current professional licenses, certifications, and credentials required for your specialty
Provide accurate, current, and complete information during registration
Comply with all applicable federal, state, and local laws and regulations
3. User Accounts
3.1 Account Creation
To access certain features of our services, you may be required to create an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.
3.2 Account Security
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to immediately notify us of any unauthorized use of your account or any other breach of security. We will not be liable for any loss or damage arising from your failure to protect your account information.
3.3 Account Termination
We reserve the right to suspend or terminate your account at any time, with or without notice, for any reason, including but not limited to violation of these Terms, fraudulent activity, or conduct that we believe is harmful to other users or our business interests.
4. Staffing Services
4.1 Service Description
Geaux Care Staffing provides healthcare staffing solutions, including but not limited to travel nursing, allied health professional placement, and temporary healthcare staffing services. We match qualified healthcare professionals with healthcare facilities seeking temporary or contract staffing.
4.2 No Employment Relationship
Healthcare professionals placed through our services may be employees of Geaux Care Staffing or independent contractors, depending on the specific arrangement. The relationship between healthcare professionals and client facilities does not create an employment relationship between the healthcare professional and the facility, unless otherwise specified in a separate agreement.
4.3 Professional Credentials
Healthcare professionals represent and warrant that they possess all necessary licenses, certifications, credentials, and qualifications required to perform the services for which they are applying. You agree to maintain current and valid credentials throughout the duration of any assignment and to immediately notify us of any changes to your licensure or certification status.
4.4 Background Checks and Screening
As a condition of placement, healthcare professionals must successfully complete background checks, drug screenings, and other screening procedures as required by law, our policies, or client facility requirements. You consent to such screenings by using our services.
4.5 Assignment Terms
Specific terms of employment or contract assignments, including compensation, duration, location, and job responsibilities, will be set forth in separate assignment agreements or contracts. These Terms supplement but do not replace those specific agreements.
4.6 No Guarantee of Placement
While we strive to match qualified healthcare professionals with appropriate opportunities, we do not guarantee placement, continued employment, or any specific number of assignments. Job opportunities are subject to client facility needs and your qualifications.
5. Compensation and Payment
5.1 Payment Terms
Compensation structure, payment schedules, and related terms will be detailed in your individual assignment agreement or employment contract. We are committed to transparent pay practices with no hidden fees deducted from healthcare professional compensation.
5.2 Timekeeping and Reporting
Healthcare professionals are responsible for accurately recording and submitting hours worked in accordance with company policies and assignment agreements. Falsification of time records may result in termination and legal action.
5.3 Tax Responsibilities
Healthcare professionals are responsible for understanding and fulfilling their tax obligations. Geaux Care Staffing will provide appropriate tax documentation (W-2, 1099, etc.) as required by law based on your employment or contractor status.
6. Intellectual Property
6.1 Our Content
The content on our website, including but not limited to text, graphics, logos, images, software, and other materials (collectively, "Content"), is owned by or licensed to Geaux Care Staffing and is protected by copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, modify, create derivative works of, publicly display, or exploit any Content without our prior written permission.
6.2 User Content
By submitting content to our website or services, including applications, resumes, photos, testimonials, or other materials ("User Content"), you grant us a non-exclusive, worldwide, royalty-free, perpetual license to use, reproduce, modify, adapt, publish, and display such User Content for the purposes of providing our services, marketing our services, and improving our business operations.

"Geaux Care Staffing" and related logos and marks are trademarks of Geaux Care Staffing, LLC. You may not use our trademarks without our prior written consent.

Healthcare professionals placed through our services may have access to protected health information (PHI) as defined by the Health Insurance Portability and Accountability Act (HIPAA) and related regulations. You agree to comply with all applicable HIPAA requirements and to maintain the privacy and security of all PHI in accordance with federal and state law. Unauthorized disclosure of PHI may result in immediate termination and legal action.

Our website may contain links to third-party websites or services that are not owned or controlled by Geaux Care Staffing. We are not responsible for the content, privacy policies, or practices of any third-party websites or services. You acknowledge and agree that we shall not be liable for any damage or loss caused by your use of any third-party content, goods, or services.
11. SMS Terms of Service
11.1 Program Description
Geaux Care Staffing offers an SMS text messaging service to provide you with job alerts, assignment updates, important notifications, and other information related to our staffing services. By opting in to receive SMS messages, you agree to these SMS Terms of Service.
11.2 Opt-In and Consent
By providing your mobile phone number and affirmatively opting in (such as by checking a box, texting a keyword, or otherwise indicating consent), you expressly consent to receive recurring SMS text messages from Geaux Care Staffing at the mobile number you provided. You certify that you are the account holder or have the account holder's permission to receive these messages. Consent to receive SMS messages is not a condition of purchasing any goods or services from Geaux Care Staffing.
11.3 Types of Messages
You may receive the following types of SMS messages:
Job opportunity alerts and new assignment notifications
Assignment updates and schedule changes
Important account notifications and reminders
Time-sensitive information regarding your placement

Promotional messages about our services (if you have opted in to marketing messages)
11.4 Message Frequency
Message frequency varies based on your preferences, activity level, and available opportunities. You may receive up to approximately 10 messages per week, though the actual number may be higher or lower depending on circumstances. We reserve the right to send additional messages as necessary for time-sensitive or critical information.
11.5 Message and Data Rates
Standard message and data rates may apply based on your mobile carrier's plan. You are solely responsible for any charges incurred from your mobile carrier. Geaux Care Staffing is not responsible for any carrier charges, fees, or overage charges that may result from receiving our SMS messages. Please contact your mobile carrier for information about your messaging plan and applicable rates.
11.6 Supported Carriers
Our SMS service is available on major U.S. mobile carriers including AT&T, T-Mobile, Verizon, Sprint, and others. Service may not be available on all carriers or in all areas. We are not liable for delayed or undelivered messages.
11.7 Opt-Out and Unsubscribe
You may opt out of receiving SMS messages at any time by using any of the following methods:

If you change your mobile phone number, you must notify us immediately and opt out of SMS messages from your old number. 12. Disclaimers and Limitation of Liability

OUR WEBSITE AND SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, GEAUX CARE STAFFING, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM: (A) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE OUR SERVICES; (B) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON OUR SERVICES; (C) ANY CONTENT OBTAINED FROM OUR SERVICES; OR (D) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT. IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

You agree to indemnify, defend, and hold harmless Geaux Care Staffing, its officers, directors, employees, agents, affiliates, and partners from and against any claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from: (a) your use of our website or services; (b) your violation of these Terms; (c) your violation of any rights of another party; (d) your provision of inaccurate or misleading information; or (e) your professional conduct or performance of services at any client facility.
14. Dispute Resolution and Arbitration
14.1 Informal Resolution
In the event of any dispute, claim, or controversy arising out of or relating to these Terms or our services, you agree to first contact us to attempt to resolve the dispute informally. Please contact us at the information provided in Section 18 below.
14.2 Binding Arbitration
If we are unable to resolve the dispute informally, you agree that any dispute, claim, or controversy shall be resolved by binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall take place in East Baton Rouge Parish, Louisiana, unless otherwise agreed. The arbitrator's decision shall be final and binding, and judgment on the award may be entered in any court having jurisdiction.
14.3 Class Action Waiver
You agree that any arbitration or proceeding shall be limited to the dispute between you and Geaux Care Staffing individually. To the fullest extent permitted by law, you agree that: (a) no arbitration or proceeding shall be joined with any other; (b) there is no right or authority for any dispute to be arbitrated on a class-action basis or to utilize class action procedures; and (c) there is no right or authority for any dispute to be brought in a purported representative capacity on behalf of the general public or any other persons.
15. Governing Law and Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of the State of Louisiana, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms (except for disputes subject to arbitration as described in Section 14) shall be brought exclusively in the federal or state courts located in East Baton Rouge Parish, Louisiana, and you consent to the personal jurisdiction of such courts.
16. Modifications to Terms
We reserve the right to modify these Terms at any time. We will notify you of any material changes by posting the updated Terms on our website and updating the "Effective Date" at the top of this document. Your continued use of our website or services following the posting of changes constitutes your acceptance of such changes. We encourage you to review these Terms periodically.
17. Severability
If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid, illegal, or unenforceable provision shall be replaced with a valid, legal, and enforceable provision that most closely reflects the original intent.
